Welcome to Alphractal. These Terms of Service ("Terms") govern your access to and use of the website, platform, APIs, and services (collectively, the "Service") provided by Alphractal Inc. ("Alphractal," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials.
You agree to notify us immediately of any unauthorized use of your account.
Alphractal reserves the right to suspend or terminate accounts that violate these Terms.
One person or entity may not maintain more than one free account.

3. Description of Service

Alphractal provides a cryptocurrency analytics platform that includes on-chain metrics, derivatives data, sentiment indicators, macroeconomic data, proprietary charts, AI-powered analysis (Alpha AI), screeners, alerts, custom dashboards, and API access. Certain features are available only to paid subscribers.

4. Subscriptions & Payments

Paid plans are billed on a recurring basis (monthly or annually) as selected at checkout.
All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.
We reserve the right to change pricing with 30 days' prior notice to active subscribers.
Failure to pay may result in downgrade or suspension of your account.
You authorize us to charge the payment method on file for all applicable fees.

5. Free Trial

We may offer a free trial period for certain plans. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial period ends. You will be charged the applicable fee for the plan you selected.

6. Acceptable Use

You agree not to:

Use the Service for any illegal or unauthorized purpose.
Reverse-engineer, decompile, or disassemble any part of the Service.
Scrape, crawl, or use automated tools to extract data beyond authorized API access.
Redistribute, resell, or sublicense any data or content obtained through the Service without prior written consent.
Attempt to gain unauthorized access to any systems, accounts, or networks.
Interfere with or disrupt the integrity or performance of the Service.
Use Alpha AI or any automated feature to generate content that is misleading, harmful, or violates applicable laws.

7. Intellectual Property

All content, data, proprietary models, charts, algorithms, trademarks, logos, and software associated with the Service are the exclusive property of Alphractal Inc. or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it in accordance with these Terms.

8. API Usage

API access is governed by the rate limits and terms of your subscription plan.
API keys are personal and non-transferable. You are responsible for all activity under your API key.
Excessive or abusive API usage may result in throttling, suspension, or termination.
Data obtained via the API may not be redistributed or used to build a competing product without written permission.

9. Alpha AI

Alpha AI is an AI-powered analytical assistant. Outputs generated by Alpha AI are for informational purposes only and do not constitute financial, investment, tax, or legal advice. You acknowledge that AI-generated responses may contain errors, and you are solely responsible for any decisions made based on such outputs.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Not Financial Advice

Nothing on the Service — including data, metrics, charts, AI outputs, alerts, screener results, or any other content — constitutes financial, investment, tax, or legal advice. All information is provided for educational and informational purposes only. Always consult a qualified financial advisor before making investment decisions. Past performance does not guarantee future results.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHRACTAL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Alphractal Inc. and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

15. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or an in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts located in Delaware.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
